CCI clears Xavier Niel’s proposed 16.2% Vodafone stake acquisition

The Competition Commission of India has approved Vega SAS’s proposed purchase of a 16.2% holding in Vodafone Group for around £4.4 billion. The transaction could make Xavier Niel the UK-based telecom company’s largest shareholder.

The Competition Commission of India (CCI) has approved a proposed transaction under which Vega SAS would acquire a 16.2% stake in Vodafone Group Plc. The clearance removes an important regulatory requirement for the deal, which could make French telecom entrepreneur Xavier Niel the UK-based operator’s largest shareholder once completed.

Vega SAS is a wholly owned subsidiary of Maya SAS, a French company controlled by Niel and his family. Niel is also the founder of telecom company Iliad. The CCI said in a statement on Friday that the proposed transaction involved the purchase of 16.2% of Vodafone Group’s issued share capital by Vega. The regulator also confirmed the approval through a post on X.

Deal was agreed with Emirates Telecommunications Group

Vega announced a binding agreement in July with Emirates Telecommunications Group Co PJSC to purchase its Vodafone holding. The proposed cash consideration is approximately £4.4 billion, equivalent to 5.1 billion euros. Vega was created specifically to hold the Vodafone shares.

The transaction required CCI scrutiny because it crossed the thresholds set under India’s competition laws. CCI’s approval relates to the regulatory review of the proposed acquisition; the purchase itself remains subject to completion of the transaction.

Why the clearance matters in India

Vega has no business operations or presence in India. However, Vodafone Group operates in the country through Vodafone Idea Ltd, which provides mobile and fixed-line telecommunications services. That connection brought the proposed overseas share purchase within the scope of India’s competition review.

For Indian telecom users, the immediate development is therefore regulatory rather than a change to Vodafone Idea’s consumer services. The CCI approval does not announce a new Vodafone Idea plan, network rollout or customer-facing product. It clears the competition-law requirement connected with the proposed change in Vodafone Group’s shareholder structure.

  • Vega SAS is expected to become Vodafone Group’s largest shareholder after the transaction is completed.
  • The proposed purchase covers a 16.2% holding previously owned by Emirates Telecommunications Group.
  • Vodafone’s Indian operations continue through Vodafone Idea Ltd, but the announcement does not state any immediate change to its services in India.

Vodafone has been changing its international portfolio

Vodafone has made several significant changes to its international business in recent years. The company has sold its operations in Italy and Spain, exited a 50% holding in a Dutch joint venture, and combined its UK operations with Three. That merger created the largest mobile operator in the UK, according to the report.

Against this backdrop, Niel’s proposed investment would give Vega a substantial position in Vodafone Group while leaving the company’s business spread across Europe and Africa. The CCI’s decision addresses the Indian competition-law aspect of the transaction; the final change in ownership depends on the deal being completed.
